Merger of Companies
We are pleased to inform you that on 30 October 2026, a merger took place involving the acquisition of NDI Energy Sp. z o.o., with its registered office in Dąbrowa, by NDI S.A. The merger was effected pursuant to Article 492 § 1(1) of the Polish Commercial Companies Code (the “CCC”), i.e. through the transfer of all assets of NDI Energy, as the acquired company, to NDI S.A., as the acquiring company.
In connection with the above, NDI S.A., as the acquiring company, has, by operation of law, assumed all rights and obligations of NDI Energy in accordance with Article 494 § 1 of the CCC (universal succession), and NDI Energy is dissolved. As a result of the merger, the existing agreements remain in force, and NDI S.A. continues to perform them as the legal successor of NDI Energy, without the need to take any additional action.
All correspondence, statements, orders, invoices and other documents related to the performance of these agreements, as of 30 October 2026, should be addressed to NDI S.A., as the acquiring company, using the following details:
